Structuring Your Small Business

Business Entities - Corporations

The third of 3 videos describing some of the advantages and disadvantages of the 3 most common business structures for a small business in Canada. In this video, we review the supposed advantages and disadvantages of a corporate structure as laid out by SMALL BUSINESS BC – a British Columbia Government website. As you’ll find out, we find this kind of content frequently on the internet. Too often though, online content is too general to be of much use. We try to add a little more substance. However, realistically every small business is somewhat unique. So your specific needs will almost certainly be different than what you typically find online. At the SMALL BUSINESS ANALYSTS SOCIETY OF CANADA, we offer a micro certification for BUSINESS ANALYST TECHNICIANS (the B.A.T. certificate), including a self-study course in Canadian Business Law. This series of 3 videos forms a small subset of that course. The course isn’t meant as a substitute for professional advice. Instead, we hope students will learn enough to be better consumers of legal and professional services and can ask better questions.

Online Legal Resources

The Canadian Legal System is complex. There are a great many excellent resources available online, being professionally maintained – at no cost to users. In this video we look at 3 excellent sources.

Business Law in 15 Days Rachel Spooner

At SBA CANADA, this book is required reading (or listening) for BUSINESS LAW 100 course – a key part of our BUSINESS ANALYST TECHNICIAN (“B.A.T.”) program. It forms an important part of our BUSINESS LAW 100 micro certification. It is – we believe – great value. In particular, for foreign residents or those interested in self-study. While Ms. Spooner’s book deals with US business law – that subject is valuable for many Canadian businesses. Much business law in both our countries is based on US common law. As such it serves as a great starting point for Canadians, who can learn many basic concepts that are virtually the same in both countries. According to the publisher: “Designed to outfit managers, legal professionals, entrepreneurs, and employees alike, this practical course encapsulates the essentials of navigating the law. Like most business-savvy people, you understand how vital the law is to conducting business.”

The Paperwork Study

In 2008, the Canadian Government of the day launched a comprehensive study of the tax and regulatory burden faced by Canadian business. According to the authors of the report: Administrative tasks and excessive paperwork burden remain a long-standing distraction for business owners. Taking a broader view, the problem of excessive paperwork can lead to reduced business start-ups, trade and investment barriers and an overall decline in economic productivity by making it relatively more expensive for Canadian businesses to operate. The study provided a breakdown of costs in the 2005 reference year. They then measured the costs 3 years later, at the conclusion of the study. Sadly, they found that costs actually increased significantly during the 3-year term of the study. The Small Business Analysts Society of Canada was founded in 2020 with a mandate to develop and deliver training for accounting technicians in Canada. A candidate trains to become a Business Analyst Technician, and part of a team that helps small Canadian businesses comply with Canada’s complex tax and accounting requirements. The courses were designed to be either self-study or delivered through participating community colleges. But, the most important part of your training is the paid internship, where you gain real-world experience working with skilled accounting practitioners.
